Gryphon Investors Acquires Nursefinders, Inc.

SAN FRANCISCO--(BUSINESS WIRE)--Aug. 16, 2004--Gryphon Investors, a San Francisco-based private equity firm, and Ray Marcy, former Chairman & CEO of Spherion Corporation, announced that they have acquired Nursefinders, Inc., one of the nation's largest nurse staffing companies to hospitals and other healthcare facilities; and a leading provider of home healthcare services. As part of the transaction, Kaiser Permanente ("Kaiser"), a current shareholder and customer, will remain a minority equity holder in the company. Nursefinders was previously owned by Atlantic Medical Capital and other institutions. Terms were not disclosed.

The Permanente Physicians Retirement Plan (PPRP) is a defined benefit plan. The base retirement benefit provides a monthly income for life beginning at age 65, based on years of credited service and the annual average of the highest three years of com­pen­sa­tion in the last 10 years. 

The formula is 2.25% x years of credited service up to 20 years x 8/9 of the average annual com­pen­sa­tion, plus 1.125% x years of credited service over 20 years x 8/9 of the average annual com­pen­sa­tion. The IRS limits dollar amounts that can be paid annually from a defined benefit plan. Benefits in excess of legal limits for qualified retirement plans are currently paid under the non-qualified Supplemental Employee Retirement Plan.

One hundred percent vesting occurs upon completion of five years of service. An annual contribution is made by HPMG to the Permanente Physicians Retirement Plan. Supplemental Employee Retirement Plan If a physician's salary exceeds the IRS limits recognized by a defined benefit plan, the benefit under the PPRP may be limited. The benefit under the Supplemental Employee Retirement Plan (SERP) is calculated as the difference between the benefit under the PPRP with IRS limits and the PPRP benefit without such limitations.  Savings Plans Profit Sharing and Money Purchase Pension Plans

  These plans provide a means for participants to accumulate retirement benefits through tax-deferred contributions. The funds are professionally managed in a variety of stocks, bonds, T-bills, and money market funds, determined by the physician's election. The physician may elect to make a salary-deferral contribution to the Profit Sharing Plan upon date of hire. Upon completion of two years of service, the physician is eligible for employer contributions to the Profit Sharing and Money Purchase Pension Plans. The physician may borrow up to 50% of his or her account funds to a maximum of $50,000.

KAISER HEALTH PLAN ASSET MANAGEMENT, INC.  I haven't a clue what this actually is or does and have found nothing on it except it's listing as a business.

KAISER PERMANENTE INTERNATIONAL  a subsidiary devoted to international consulting and development work  http://www.prnewswire.co.uk/cgi/news/release?id=57278 This looks just like another to sucker in the public that has no knowledge of this company.  Too bad false adver­tis­ing isn't illegal internationally.  They are just marketing them­selves to other countries that are trying to find solutions for their problems.  

KAISER PERMANENTE VENTURES  A Dual Purpose Funding Venture - I have to wonder if this also is part of the Permanente deferred com­pen­sa­tion agreement and is also tax free.  Kaiser Permanente Ventures is the corporate venturing arm of Kaiser Permanente and leverages Kaiser's resources and health care experience to selectively invest in entrepreneurial companies.  Kaiser Ventures at the Carlyle Group

AUXILIARY OF SOUTHERN CALIFORNIA PERMANENTE - INLAND COUNTIES  I haven't the slightest idea what this one does though it is based out of Claremont, California. 

THE PERMANENTE FOUNDATION  This is a group of trusts set up for the doctors.  In general it is the current Kaiser Permanente Foundation Health Plan and The Permanente Medical Group.
